1. Acceptance of Terms
By accessing, downloading, installing, or using the SIAPP mobile application and website (the "Application"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms"). These Terms constitute a binding legal agreement between you and SIAPP. If you do not agree to these Terms in their entirety, you are not authorized to access or use the Application and must immediately cease all use.
2. Description of Service
SIAPP provides a comprehensive mobile application platform designed to facilitate professional documentation, management, and tracking of construction, inspection, and related project activities (the "Service"). The Service includes, but is not limited to, digital photo documentation, project management tools, automated report generation, real-time data synchronization, and cloud-based storage solutions. SIAPP reserves the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice or liability.
3. User Accounts and Security
You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username and password. You shall be held accountable for all activities conducted through your account, whether authorized by you or not. You agree to immediately notify SIAPP of any suspected unauthorized access, security breach, or compromise of your account credentials. SIAPP shall not be liable for any loss or damage arising from your failure to maintain account security or comply with this provision.
4. Data Protection and Privacy
SIAPP is committed to protecting the privacy and security of your data in accordance with applicable data protection laws and regulations. All information collected through the Application is utilized exclusively for the purposes of providing, maintaining, and enhancing our Service. SIAPP does not sell, lease, or disclose your personal information to third parties for marketing purposes without your explicit consent. 5. Intellectual Property Rights
You retain all ownership rights to content created, uploaded, or generated through the Application, including but not limited to photographs, documents, reports, and project data ("User Content"). By using the Application, you grant SIAPP a non-exclusive, worldwide, royalty-free license to store, process, transmit, and display your User Content solely for providing and improving the Service. SIAPP retains all rights, title, and interest in the Application, including all associated intellectual property rights.
6. Prohibited Conduct
You expressly agree not to: (a) use the Application for any unlawful, fraudulent, or unauthorized purpose; (b) interfere with or disrupt the integrity, security, or performance of the Application; (c) attempt to gain unauthorized access to any portion of the Application, other user accounts, or connected systems; (d) transmit any malicious code, viruses, or harmful components; (e) reverse engineer, decompile, or disassemble any aspect of the Application; or (f) violate any applicable laws or regulations. SIAPP reserves the right to investigate violations and take appropriate legal action.
7. Service Availability
While SIAPP endeavors to provide reliable and uninterrupted access to the Application, we do not guarantee continuous, error-free, or secure operation. The Application may be temporarily unavailable due to scheduled maintenance, system upgrades, technical difficulties, or circumstances beyond our reasonable control. SIAPP reserves the right to modify, suspend, or discontinue the Application or any features at any time without liability.
8. Disclaimer of Warranties
THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SECURITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIAPP DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE APPLICATION AND ITS USE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIAPP SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE APPLICATION, INCLUDING BUT NOT LIMITED TO DATA LOSS, BUSINESS INTERRUPTION, OR SERVICE DISRUPTIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You agree to indemnify, defend, and hold harmless SIAPP, its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising from: (a) your use or misuse of the Application; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your User Content.
11. Modifications to Terms
SIAPP reserves the right to modify, amend, or update these Terms at any time at its sole discretion. Modifications become effective immediately upon posting within the Application. Your continued use following such modifications constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically to remain informed of any changes.
12. Termination
SIAPP reserves the right to suspend or terminate your access to the Application at any time, with or without cause, and with or without notice, for any reason including breach of these Terms. Upon termination, your right to use the Application shall immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
13. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any dispute arising from these Terms or the Application shall be resolved through binding arbitration where permitted by law. You agree to waive any right to a jury trial or to participate in a class action where such waiver is legally permissible.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SIAPP regarding the Application and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter herein.
